Target Screening, Fundraising & Commercial Due Diligence | Ground Project

Client Needs & Objectives

Our mission was to accompany a senior executive in the entrepreneurial project of creation / takeover of a life insurance company under Luxembourg law, dedicated to the European clientele (HNWI). Two options were available: (1) Greenfield launch with buyout of progressive portfolios, or (2) acquisition of an existing life insurance company in Luxembourg.

The objectives were as follows:

  • Provide support in the search for partner-investors and fundraising (35M € equity over 5 years)
  • Launch the operations / marketing of the products one year after the beginning of the mission (January 2016)

Our approach

  • Drafting of the Investment Memorandum in collaboration with the project leader: interviews, market analysis, financial projections (business plan) …
  • Screening, identification and linking with investment targets / opportunities in Luxembourg
  • Commercial due diligence on the identified target (~ € 500M assets under management): analysis of the distribution network, customer portfolio, Human Resources, and IT
  • Assistance in negotiation with the investor (financial structuring, management package …)
